Anti-Bribery and Corruption Policy

1. Purpose

At Critical Cloud, we are committed to conducting all business activities with the highest standards of integrity, transparency, and ethical practices. This Anti-Bribery and Corruption Policy outlines our zero-tolerance stance towards bribery and corruption in all forms, ensuring compliance with the UK Bribery Act 2010 and other applicable laws.


2. Scope

This policy applies to:

  • All employees, officers, and directors of Critical Cloud.
  • Contractors, consultants, agents, and third parties acting on behalf of Critical Cloud.

It covers all business dealings, including interactions with government officials, customers, suppliers, and other stakeholders.


3. Definitions

  • Bribery: Offering, giving, receiving, or soliciting something of value (e.g., money, gifts, hospitality) to improperly influence a decision or gain an unfair advantage.
  • Corruption: Abuse of entrusted power for private gain.

4. Policy Statement

Critical Cloud strictly prohibits:

  • Offering, giving, or accepting bribes in any form.
  • Using third parties to engage in bribery or corruption.
  • Making facilitation payments (small payments to expedite routine processes).
  • Accepting or offering excessive gifts, entertainment, or hospitality that could influence decision-making.

5. Gifts, Hospitality, and Entertainment

  • Modest and appropriate gifts or hospitality may be given or accepted if they are:
    • Reasonable and proportionate.
    • Not intended to influence or gain an unfair advantage.
  • All gifts or hospitality above a defined value threshold (e.g., £100) must be reported to and approved by management.

6. Responsibilities

  • Employees and Representatives:
    • Must comply with this policy and report any suspected bribery or corruption immediately.
    • Must refuse and report any bribe offered to them.
  • Managers:
    • Must ensure that their teams are aware of and comply with this policy.
    • Are responsible for approving gifts or hospitality that fall within permitted limits.
  • Critical Cloud:
    • Will provide training and guidance to all employees.
    • Will ensure compliance through regular audits and monitoring.

7. Reporting and Whistleblowing

If you suspect bribery or corruption, you must report it immediately. Critical Cloud will:

  • Treat all reports confidentially.
  • Protect whistleblowers from retaliation or victimisation.
  • Investigate all reports thoroughly and take appropriate action.

8. Compliance and Disciplinary Action

Failure to comply with this policy may result in:

  • Disciplinary action, up to and including termination of employment.
  • Termination of contracts with third parties.
  • Legal action where applicable.

9. Monitoring and Review

Critical Cloud will:

  • Regularly review this policy to ensure it remains effective and up to date.
  • Update it to reflect changes in laws, regulations, or business practices.

10. Acknowledgement

All employees and representatives of Critical Cloud are required to confirm their understanding and agreement to comply with this policy.
